Welcome to Lume Concepts. We are your dedicated partner for turning visions into beautifully crafted spaces in the Algarve. These Terms & Conditions outline our collaboration to ensure transparency, trust, and seamless delivery of your project.
1. Definitions
In these General Terms and Conditions, the following definitions apply:
- LUME Concepts: the company providing interior design, styling, consulting, and related services.
- Client: the individual or legal entity entering into an agreement with LUME Concepts.
- Services: all interior design, styling, consulting, project coordination, sourcing, and related activities performed by LUME Concepts.
- Agreement: the written or verbal agreement between LUME Concepts and the Client.
- Project: the interior design and/or styling assignment as agreed between the parties.
2. Applicability
2.1 These General Terms and Conditions apply to all quotations, agreements, assignments, and services provided by LUME Concepts.
2.2 Deviations from these terms are only valid if agreed upon in writing by both parties.
2.3 By accepting a quotation or entering into an agreement, the Client accepts these General Terms and Conditions.
3. Quotations and Agreements
3.1 All quotations issued by LUME Concepts are non-binding and valid for 30 days unless otherwise stated.
3.2 An agreement becomes effective once the Client has approved the quotation in writing or once LUME Concepts has commenced work on the Project.
3.3 Any additional requests or modifications beyond the agreed scope may result in additional costs.
4. Scope of Services
4.1 LUME Concepts provides services including, but not limited to:
- Interior design concepts
- Styling advice
- Moodboards and material proposals
- Furniture and lighting selection
- Space planning
- Project coordination
- Supplier sourcing
- On-site styling and furnishing
4.2 Unless explicitly agreed otherwise, LUME Concepts does not perform construction work, architectural calculations, engineering services, or permit applications.
4.3 LUME Concepts may collaborate with third-party suppliers, contractors, or specialists where necessary.
5. Client Responsibilities
5.1 The Client shall provide all relevant information, measurements, floor plans, and access required for the execution of the Project.
5.2 The Client is responsible for ensuring the accuracy of all information provided.
5.3 Delays caused by incomplete information, restricted access, or late decisions by the Client may affect the planning and may result in additional costs.
5.4 The Client remains responsible for final approval of all designs, purchases, materials, and layouts.
6. Fees and Payment
6.1 Fees are based on the quotation, hourly rates, fixed project fees, or other agreed pricing structures.
6.2 All prices are exclusive of VAT unless stated otherwise.
6.3 Invoices must be paid within 14 days of the invoice date unless otherwise agreed in writing.
6.4 LUME Concepts reserves the right to request an advance payment before commencing work.
6.5 In the event of late payment, LUME Concepts reserves the right to suspend work until outstanding amounts have been paid.
6.6 Any collection costs, legal fees, or recovery expenses arising from non-payment shall be borne by the Client.
7. Additional Work
7.1 Any work requested by the Client outside the agreed scope shall be considered additional work.
7.2 Additional work may be invoiced separately based on hourly rates or additional quotations.
7.3 LUME Concepts will inform the Client where reasonably possible before carrying out substantial additional work.
8. Planning and Delays
8.1 All timelines and schedules provided by LUME Concepts are indicative unless explicitly agreed otherwise.
8.2 LUME Concepts is not liable for delays caused by third parties, suppliers, shipping companies, contractors, force majeure events, or circumstances beyond its control.
8.3 Delays do not entitle the Client to compensation unless agreed otherwise in writing.
9. Purchasing and Third-Party Suppliers
9.1 LUME Concepts may advise on furniture, materials, accessories, lighting, and other products.
9.2 Purchases can be made either directly by the Client or on behalf of the Client by LUME Concepts, depending on the agreement.
9.3 LUME Concepts is not liable for defects, delivery delays, warranty issues, or damages caused by third-party suppliers or manufacturers.
9.4 Product availability, lead times, and pricing may change without prior notice.
10. Intellectual Property
10.1 All concepts, moodboards, drawings, presentations, visualizations, designs, and documents created by LUME Concepts remain the intellectual property of LUME Concepts unless agreed otherwise in writing.
10.2 The Client may not reproduce, distribute, modify, or commercially exploit any materials created by LUME Concepts without prior written consent.
10.3 LUME Concepts reserves the right to use project images, renderings, and photographs for portfolio, website, social media, and marketing purposes unless otherwise agreed in writing.
11. Liability
11.1 LUME Concepts shall perform its services with reasonable care and professionalism.
11.2 LUME Concepts is not liable for indirect damages, consequential damages, loss of profit, business interruption, or damages caused by third parties.
11.3 Any liability of LUME Concepts shall be limited to the amount invoiced for the relevant part of the assignment.
11.4 The Client remains responsible for verifying dimensions, technical feasibility, building regulations, and contractor execution.
11.5 LUME Concepts is not responsible for hidden defects, structural issues, or technical problems within the property.
12. Force Majeure
12.1 LUME Concepts shall not be held liable for delays or failure to perform obligations resulting from circumstances beyond its reasonable control, including but not limited to:
- Natural disasters
- Illness
- Government measures
- Supplier failures
- Transportation disruptions
- War or civil unrest
- Power or internet outages
12.2 During force majeure situations, obligations may be suspended without liability.
13. Cancellation and Termination
13.1 The Client may cancel the Project in writing.
13.2 In the event of cancellation, the Client shall pay for all work completed up to the cancellation date, including committed purchases and third-party costs.
13.3 Deposits and advance payments are non-refundable unless agreed otherwise.
13.4 LUME Concepts reserves the right to terminate the agreement in case of:
- Non-payment
- Breach of these terms
- Abusive or unreasonable conduct
- Circumstances preventing proper execution of the Project
14. Complaints
14.1 Complaints regarding services or invoices must be submitted in writing within 14 days after discovery.
14.2 LUME Concepts shall make reasonable efforts to resolve complaints in consultation with the Client.
15. Confidentiality
15.1 Both parties shall treat confidential information obtained during the Project as confidential.
15.2 Confidential information shall not be disclosed to third parties unless required for the execution of the Project or by law.
16. Governing Law and Jurisdiction
16.1 These General Terms and Conditions and all agreements between the parties are governed by Portugese law.
16.2 Any disputes shall be submitted exclusively to the competent court in the Algarve unless mandatory law provides otherwise.
16. Staying Up to Date
We may update these Terms periodically. Continued collaboration after updates indicates your acceptance of the latest version.
